- Deadline: 4 months after the year-end. If the financial year closes on 31 Dec, until 30 April of the following year.
- Books always compulsory: Libro Diario (daily journal) + Libro de Inventarios y Cuentas Anuales (inventory and annual accounts book) + Libro de Actas de Junta (general meeting minutes book).
- S.L.: add the Libro Registro de Socios (shareholders register). S.A.: add the Libro Registro de Acciones Nominativas (registered-shares register), if the shares are registered.
- S.L.U./S.A.U.: add the Libro de Contratos del Socio Único con la Sociedad (sole-shareholder contracts book) (art. 16 LSC).
- Penalty art. 31 CCom: up to 3.005 € for non-compliance. Registry closure similar to that applied for not filing the annual accounts.
- Individual minutes can be legalised outside the annual cycle (e.g. minutes of a capital increase or an amendment of the articles of association).
