Legal basis and things to bear in mind

  • DIFFERENCE FROM A NOTARIAL POWER OF ATTORNEY: the mandato is the contract (the internal relationship); the poder is the representation (the external relationship). They may or may not coincide.
  • MANDATE WITHOUT REPRESENTATION: the agent acts in their own name but on the principal's account. This means the agent acquires the rights and obligations and then transfers them to the principal.
  • Agent's duties (arts. 1718-1722 CC): follow instructions, render accounts, be liable for wilful misconduct or negligence.
  • Principal's duties (arts. 1727-1729 CC): advance expenses, reimburse the agent, compensate for losses.
  • TERMINATION (art. 1732 CC): revocation by the principal, resignation by the agent, death, incapacity, declaration of insolvency.
  • Free revocation (art. 1733). Third parties must be notified so that a good-faith third party is not protected under art. 1738.
