Foreign investment declaration to the Registro de Inversiones (Investment Register): forms D-1A, D-2A, DP-1, DP-2 and D-4: how is it filed?
- 1Answer the questions (about 10 minutes): what the transaction is, who is investing, in which company or property and for how much.
- 2Payment from €349.00 (21% VAT incl.); you see the exact amount, which depends on what has to be declared, before you pay.

- 4Upload to your case file what the service asks for: the document recording the transaction or, for the annual report, the accounts.
- 5We complete the form in AFORIX, the official software of the Registro de Inversiones (Investment Register), and file it on your behalf; if the transaction goes through a Spanish notary, we send the notary's office the validated file so that it files it at the signing.
- 6We send you the filing receipt with the declaration number.
Which documents do you need?
- •Document recording the transaction: deed, contract or resolution, with its date, the amount and the percentages. Without a Spanish notary, the Registro de Inversiones (Investment Register) requires a copy to be attached.
- •If the investor is a company: the details of its ultimate owners with 10% or more and a document proving the position or the power of attorney of the person signing.
- •For the annual report D-4: the annual accounts for the financial year (and those of each Spanish subsidiary in which it holds 10% or more) or the corporate income tax return (form 200).
- •If we also file for other investors in the same transaction: a signed authorisation from each of them, which we prepare for you.
Legal basis and things to bear in mind
- The declaration is made after the investment and serves administrative and statistical purposes: it is not an authorisation. If the investment needs prior government authorisation (an investor from outside the European Union and EFTA, or one controlled from outside by more than 25%, reaching 10% or control in a strategic sector, or an investor controlled by a government from outside the European Union), that authorisation comes first, it is a separate engagement and without it the transaction is not valid.
- Form D-1A declares: a non-resident investor acquiring 10% or more of the share capital or voting rights of a Spanish company (including when setting it up); opening a branch or increasing its allocated capital, always; contributions from a shareholder holding 10% or more; financing from a group company of more than €1,000,000 over more than one year; and a stake of 10% or more and above €1,000,000 in joint ownerships, joint ventures (UTE), economic interest groupings (AIE), foundations or joint account agreements. One declaration per investor and transaction.
- Form D-2A declares the purchase by a non-resident of each property worth more than €500,000.
- If the investment comes, directly or through its owners, from a non-cooperative jurisdiction, it is always declared, with no minimum amounts, and also before it is made, with form DP-1 (if the foreign stake in the company exceeds 50%) or form DP-2 (properties). The prior declaration is valid for six months.
- If the transaction goes through a Spanish notary, the declaration is filed by the notary's office with the file we prepare and validate with the Register; if you do not give the data to the notary, the obligation to declare remains yours.
- Annual report D-4: filed by Spanish companies in which a non-resident investor holds 10% or more and whose share capital or equity exceeds €3,000,000, or which head a group, and by branches with allocated capital or equity of more than €3,000,000. Seven months from the financial year-end.
- Failing to declare is an infringement: serious if the transaction exceeds €6,000,000 (a fine of up to half its amount, with a minimum of €6,000) and minor otherwise (up to a quarter, with a minimum of €3,000). Filed late without a prior request from the Register, the fine is €150 to €300 if six months have not passed and €300 to €600 if they have.
- We file it on your behalf, with our digital certificate, and we give our email as the contact for the declaration, so that any request from the Register reaches us. We do not ask for your digital certificate.
- This service does not include the deed or the notary for the transaction, the divestment declarations (D-1B and D-2B), or the notice of a change of company name or percentage without a new investment (form CM1).
- Legal framework: Ley 19/2003 (arts. 2, 7 bis, 8 and 9), Real Decreto 571/2023 (arts. 3, 4 and 5), Orden ECM/57/2024 (arts. 9 to 16) and the Resolution of 31 January 2024 (forms).
