Which documents do you need?

Legal basis and things to bear in mind
- Obliged parties: EVERY Spanish legal person, except listed companies, the Sector Público (public sector) and wholly owned (100 %) subsidiaries.
- Definition of titular real (art. 4 RD 304/2014): an INDIVIDUAL holding >25 % of the capital or of the voting rights (directly or indirectly), or exercising effective control by other means. If nobody exceeds 25 %, the administrator is the subsidiary beneficial owner by presumption.
- Deadline: annually with the deposit of annual accounts (1 month after the accounts are approved by the general meeting). On a change: at any time (change of shareholders, of voting rights or of administrator).
- Penalties under art. 56-58 LPBC: up to 60.000 € (serious) or 10M € / 10 % of turnover (very serious). The registry is blocked until the declaration is filed correctly.
- Banking consequences: banks, notaries and other LPBC obliged entities check the declaration before starting a business relationship. With no beneficial owner declared, they will NOT be able to open an account, execute deeds, and so on.
- RECTIR (Registro Central de Titularidades Reales, the central register of beneficial owners, Ley 11/2021): it centralises the information for public authorities, obliged entities and members of the public with a legitimate interest.
