Digital certificate and electronic signature for companies and autónomos in Spain

The short answer

A company digital certificate is the electronic identity your company, or you as an autónomo (self-employed worker), uses to deal with the Spanish administration: filing taxes, receiving notifications and bidding for public contracts. There are 3 different pieces: the representative certificate (signature), the electronic seal and the eIDAS qualified signature. With online identity verification it is issued the same day. What is new, and the law that applies

  • Reglamento (UE) 2024/1183 (eIDAS 2), of 11 April 2024, in force since 20 May 2024: it amends Reglamento eIDAS 910/2014 and creates the European digital identity framework.
  • European Digital Identity Wallet (EUDI Wallet, called Cartera IDUE in Spain): every member state must offer at least one certified wallet before 24 December 2026 and public administrations will have to accept it. Spain is a pilot country and the FNMT acts as PID issuer in the pilot.
  • In Spain, Ley 6/2020, of 11 November, governing certain aspects of electronic trust services, remains in force, having replaced Ley 59/2003 on electronic signatures.
  • FNMT certificates and the Cl@ve system will coexist with the future digital wallet, and your current certificate and seal remain fully valid.

What is a company digital certificate and how is it different from a seal and a signature?

A digital certificate is an electronic file, issued by a trust service provider such as the FNMT (the Spanish Royal Mint, the public body that issues digital certificates), that proves the identity of a person or of an entity before the administration and before third parties. It is the basis on which you then sign and seal.

It is worth keeping 3 concepts apart. The certificate identifies. The electronic signature is made by an individual (the signatory) and expresses their will regarding a specific document. The electronic seal is linked to the legal entity (the company) and guarantees the origin and the integrity of the document, normally in automated or high volume processes, without a person taking part in each operation.

For a company, digital identity is built from 3 pieces: the representative certificate (with which your representative signs on behalf of the company), the company electronic seal (for automated procedures) and, where the highest legal value is needed, the eIDAS qualified electronic signature.

Who can have a digital certificate in Spain and who is required to have one?

Companies (SA, SL and other legal entities) are required to deal with the public administration by electronic means (Ley 39/2015, the Spanish Public Administration Procedure Act, article 14.2). In practice, without a certificate they cannot file taxes or receive notifications.

If your company has an administrador único o solidario (a sole director, or a joint and several director) registered at the Registro Mercantil (the Spanish Companies Register), the certificate that applies is the representative certificate for administrador único o solidario. All other entities, and apoderados (attorneys holding a power of attorney) with powers of representation, use the representative certificate for legal entities.

An autónomo is an individual: for their own procedures they use the FNMT individual certificate (free of charge), not the representative one. In addition, autónomos have been required to deal electronically with the Seguridad Social (the Spanish social security system) since 2018. What is a company digital certificate used for?

Filing and paying taxes on the website of the Agencia Tributaria or AEAT (the Spanish tax authority, commonly called Hacienda): IVA (Spanish VAT) with the modelo 303, withholdings, corporate income tax, tax register filings, and checking your tax data.

Receiving and reading electronic notifications through the Dirección Electrónica Habilitada única, DEHú (the single official electronic address where the administration sends notifications). For legal entities notification is always electronic, so without a certificate you never find out about requests for information or deadlines.

Taking part in public procurement: submitting bids and documents on the Plataforma de Contratación del Sector Público (the Spanish public sector contracting platform) requires an electronic signature. It also lets you deal with the Seguridad Social (Sistema RED, the TGSS website), the Registro Mercantil, regional and local administrations, sign contracts and issue electronic invoices through FACe.

How do you get a Spanish digital certificate and what documents do you need?

The FNMT process has 4 stages: setting up your computer beforehand, the online application (which generates an application code sent by email), identity verification, and downloading the certificate roughly 1 hour after verification.

Identity verification can be done online or in person. Online (recommended) is available for entities whose NIF (the Spanish tax identification number) starts with A, B, C or D, but it requires the representative to already hold a valid FNMT individual certificate (obtained in person or by video identity verification, less than 5 years old and not the result of an online renewal). Without that earlier certificate, verification is in person, at a registration office (Agencia Tributaria, the CNMV or Spanish securities regulator, and others). An administrador único o solidario can also verify their identity by video identity verification and obtain the certificate entirely online using an FNMT individual certificate or the DNI electrónico (the Spanish electronic national ID card).

Usual documents: the NIF of the entity, the deed of incorporation, valid registered powers of attorney and a certificate from the Registro Mercantil regarding the office held where applicable. How long does it last and how do you renew it?

The representative certificate (legal entity, and administrador único o solidario) is issued with a validity of 2 years. The entity electronic seal can be issued for 1, 2 or 3 years. The public administration electronic seal has a validity of 36 months.

The company representative certificate cannot be renewed online: neither the administrador único o solidario certificate nor the legal entity certificate allows online renewal. To keep operating you have to apply for a new certificate before the one you hold expires. The quickest route is online identity verification (NIF starting with A, B, C or D), provided the representative already holds a valid FNMT individual certificate; otherwise, verification is in person. Do not leave it until the last minute: if the certificate expires, you can no longer sign or file, and in any case you have to apply for a new one from scratch.

What changes in 2026 with eIDAS 2?

The eIDAS 2 reform (Reglamento (UE) 2024/1183, the EU digital identity regulation, in force since 20 May 2024) amends Reglamento eIDAS 910/2014 and creates the European digital identity framework.

Before 24 December 2026, every member state must offer at least one European Digital Identity Wallet (EUDI Wallet) and public administrations will have to accept it. In Spain it is called Cartera IDUE and the FNMT takes part as an issuer in the pilot environment.

Your current certificate and seal remain valid. The digital wallet will be added as an extra option, without replacing FNMT certificates or the Cl@ve system (the Spanish government identity system for online public services) overnight.

    Choose the certificate that applies to you

    Prepare your computer (setup beforehand)(Before applying)

    Install the FNMT configuration software and use a compatible browser. Do not reformat or update the computer between the application and the download, or the certificate is lost.

    Fill in the form on the FNMT website with the NIF of the entity. You will receive an application code by email.

    Identity verification(Appointment subject to availability if in person)

    Online for a NIF starting with A, B, C or D, provided the representative already holds a valid FNMT individual certificate, or by video identity verification for an administrador único o solidario. If you do not hold that earlier certificate, verification is in person, by appointment at a registration office (Agencia Tributaria, CNMV).

    Payment of the FNMT tasa (official fee)

    It is paid by credit or debit card: €24 plus IVA (Spanish VAT) for an administrador único o solidario and €14 plus IVA for a legal entity representative.

Does an autónomo need the representative certificate for legal entities?

No. As an individual, an autónomo uses the FNMT individual certificate (free of charge). The representative certificate is for companies and other entities. Managora tells you which one applies in your situation.

How long does it take to get the certificate?

With online identity verification (NIF starting with A, B, C or D and provided the representative already holds a valid FNMT individual certificate, or video identity verification for an administrador único o solidario) you can download it the same day, roughly 1 hour after verifying your identity. If verification is in person, it depends on the appointment available.

Is my company required to have a digital certificate?

Yes. Legal entities are required to deal with the administration electronically (Ley 39/2015, article 14.2). Without a certificate you cannot file taxes or receive notifications, which for a company are always electronic.

What happens if the certificate expires?

You can no longer sign or file. On top of that, the company representative certificate cannot be renewed online: you have to apply for a new one and, if it has already expired, start the process from scratch. That is why it is best to request the new certificate before the expiry date. Managora keeps track of the date and applies in good time.

Does a qualified electronic signature have the same value as a handwritten signature?

Yes. The eIDAS Regulation (art. 25.2) gives it legal effect equivalent to a handwritten signature and it is recognised in every European Union member state.

What is the difference between an electronic seal and an electronic signature?

The signature is made by an individual and expresses their will regarding a document. The seal is linked to the company (the legal entity) and guarantees origin and integrity, usually in automated or high volume processes, without individual involvement.
