Startup (empresa emergente) certification from ENISA
Startup (empresa emergente) certification from ENISA is filed with ENISA, Empresa Nacional de Innovación (área de servicios, opción Certificaciones). With Managora you do it 100% online: you answer a few questions, sign a digital mandato (power of representation) and we draft, sign and file your application for you. What we charge you: from €599. Official tasa (government fee): No official fees. Applying to ENISA for the certification is free, and ENISA notifies the empresa emergente status directly to the Registro Mercantil (or the Registro de Cooperativas): neither Ley 28/2022 nor Orden PCM/825/2023 sets any registry fee payable by the company for that registration. If the company decides to grant us a notarial power of attorney so that we can submit as its attorneys, the notary charges their fee separately and the company pays it.
We handle your company's certification as an empresa emergente (startup) with ENISA, the certification that gives access to the benefits of the Startups Law. We check the requirements against your deed and your accounts, draft the business plan, the innovation and scalability sections and the declaración responsable (sworn statement), submit the application as attorneys with the notarial power of attorney that ENISA asks of whoever represents the company (or, if you prefer, leave it ready for your director to send) and answer ENISA's requests until the decision. Applying to ENISA is free and ENISA decides whether to grant it.

Prerequisites we also handle for you
This procedure may require documents that we also obtain. If your case needs one and you do not have it, ask us for it here and come back once you have it:
Legal basis and things to bear in mind
- Requirements of Ley 28/2022: being a trading company or cooperative; no more than 5 years since registration with the Registro (7 in biotechnology, energy and industry); not having arisen from a merger, demerger or conversion of businesses that were not startups; not distributing and never having distributed dividends; not being listed on a regulated market; having the registered office, head office or a permanent establishment in Spain; having at least 60 % of the workforce on an employment contract in Spain; turnover not above 10 millones de euros; and running an innovative project with a scalable business model. If the company is part of a group, the requirements must be met by the group or by each of its companies.
- Nor can the benefits be claimed by businesses founded or run by people who are not up to date with the tax authorities and the Seguridad Social, who have a final conviction for offences such as breach of fiduciary duty, criminal insolvency, money laundering or tax offences, or who have lost the right to contract with public authorities. The declaración responsable (sworn statement) covers this.
- ENISA has a maximum of 3 months to decide from when the complete application enters its register, and if it does not notify a decision within that period the application is deemed granted. The period is suspended while a request to correct the application is being answered, and if the request is not answered in time the application is treated as withdrawn.
- Certification registered with the Registro Mercantil is what gives access to the benefits of the law, such as paying Impuesto sobre Sociedades (corporate tax) at 15 % in the first period with a positive tax base as a startup and in the three following ones, as long as it keeps that status. ENISA notifies the registration directly to the Registro, and the benefits apply from the date of the certification.
- The certification is valid for 5 or 7 years counted from the company's registration with the Registro, not from the certification, and it is lost earlier if the company stops meeting a requirement, is bought by a business that is not a startup, or its turnover goes above 10 millones de euros. The company must tell ENISA immediately of any change affecting the requirements.
- It is not the ENISA loan or the report the UGE-CE asks for in the entrepreneur residence: they are separate procedures, and the certification does not give access to those residence permits. Having signed an ENISA loan in the last 3 years, still in force and with no incidents, does approve scalability directly.
- ENISA decides whether to grant it: we cannot guarantee it. A refusal can be challenged with a recurso de alzada (administrative appeal) within one month of notification, before the Dirección General de Industria y de la Pequeña y Mediana Empresa; the Managora law firm handles it, as a separate engagement quoted in advance.
